TERMS & CONDITIONS
1. INTRODUCTION

The products and services Peopleberry provides to you through the website are expressly and unconditionally subject to the following General Terms and Conditions (hereafter “GTCs”): Please be aware that any website to which you are directed via a hyperlink or other link provided by Peopleberry on the website may contain separate GTCs that may be different from these GTCs which are expressly applicable to the services and products provided by the specific website and have precedence over these GTCs.

2. TERM OF AGREEMENT

3. PRODUCT / SERVICE DESCRIPTION

The Services, including any updates, enhancements, new features, and/or the addition of other websites properties, are subject to these GTCs.

4. RELATIONSHIP OF THE PARTIES
You are acting as an independent contractor and you are responsible for determining your own business activities. Nothing in this agreement creates any special relationship between the parties, such as a partnership, joint venture, or employee/employer relationship between the parties.

5. INTELLECTUAL PROPERTY RIGHTS
All works of authorship, designs, know-how, ideas, course materials, products, services and information’s are the property and copyrighted work of Peopleberry (and its affiliated entities). You are expressly prohibited from modifying, copying, reproducing, distributing, republishing, downloading, displaying, selling, compiling, posting or transmitting in any form or by any means without the prior written consent of Peopleberry.
5. CONFIDENTIALITY AND DATA PROTECTION
All personal data that are obtained are kept confidential. These informations are not passed on to third parties. Exceptions are permitted if a Client expressly authorizes Peopleberry to do so.

7. DISCLAIMER
You acknowledge and agree that Peopleberry does not make any implications, warranties, promises, suggestions, projections or guarantees whatsoever to you in prospects to achieve any specific, personal, professional or financial results or earn any specific amount of income with respect to your purchase of goods or services offered. Peopleberry does not provide any psychological counselling or investment and financial advice. You are responsible for taking all actions necessary to ensure your medical safety.

8. REFUND POLICY
You can request a refund up to 7 days after purchasing an online product or service. There will be no refund after that.

9. LIMITATION OF LIABILITY
The activities of Peopleberry (as well as its members, employees, instructors, vendors, independent contractors, service professionals and affiliated entities) are purely service activities. Success is therefore not guaranteed. A success liability is excluded. Liability for consequential damages and costs, including loss of earnings, loss of profit or third-party claims, loss of data, travel costs, consequential and financial loses of any kind and pecuniary damages are also excluded.

10. INDEMNIFICATION
You hereby agree to indemnify and hold harmless Peopleberry (and its affiliates) from any loses, damages, costs, liabilities and expenses (including without limitation legal expenses and any amounts paid by us to a third party in settlement of a claim or dispute on the advice of our legal advisers) arising out of your actions.

11. SEVERABILITY AND WAIVER
If any provision of this Agreement is held to be illegal or invalid by any competent judicial authority, the validity of the remainder of this Agreement shall not be affected thereby. No waiver by any Party of any breach shall be construed as a future waiver thereof or a modification or waiver of such Party’s other rights.

12. ASSIGNMENT
This Agreement may not be assigned without prior written consent of Peopleberry.

13. MODIFICATION
Changes of these GTCs are possible at any time. The changed GTCs shall be valid from the day of their publication on the website “https://ulrikeseminati.com”, “www.peopleberry.com” and its affiliated websites. Should any provision of these GTCs be or become invalid or void, the validity of the remaining provisions shall not be affected. If a provision of this Agreement is or becomes invalid or void, it shall be replaced within a reasonable period of time by a new provision that comes as close as possible to the purpose of the invalid provision. If any modification is unacceptable to you, your only recourse is to terminate this Agreement. Your continued purchase of any of Peopleberry’s Online Products following the posting of a change notice or a new version of the Agreement or following notice of the modification/amendment will constitute your binding acceptance of the GTCs.

14. LEGAL AGE
You are only eligible to use the Platform if you are of legal age in your country or if you have consent from your parent or guardian.

15. USER ACCOUNT, PASSWORD AND SECURITY
If any of the Services requires you to open an account, you must complete the registration process by providing Peopleberry with current, complete and accurate information as prompted by the applicable registration form. You may also be required to select a password and/or a username. You are solely and entirely responsible for maintaining the confidentiality of your password and account. Furthermore, you are entirely responsible for all activities that occur under your account. You agree to notify Peopleberry of any unauthorized use of your account or any breach of security. Peopleberry will not be liable for any loss that you may incur as a result of someone else using your password or account, either with or without your knowledge. However, you could be held liable for losses incurred by Peopleberry or another party due to someone else using your account or password. You may not use the account or password of any other member or user of the services made available on the website without the express permission said member or user of the services.

16. APPLICABLE LAW AND JURISDICTIONS
Swiss law applies. The place of jurisdiction for disputes arising from these GTCs is Zürich.
